The Site is owned and operated by Global Vacuum Systems, LLC (“Global Vacuum Systems,” “GVS,” “we,” “us,” or “our”).

If you access or use the Site on behalf of a company or other entity, you represent that you have authority to bind that company or entity to these Terms, and “you” and “your” will refer to both you and that company or entity.

Any sale, lease, financing, refurbishment, repair, fabrication, manufacturing, custom build, or other transaction with Global Vacuum Systems is subject to separate written documentation, which may include, as applicable, written quotes, proposals, purchase orders, acknowledgments, invoices, specifications, drawings, bills of sale, sale terms, service terms, financing documents, and other written agreements. In the event of any conflict between these Terms and the terms of any signed written agreement between you and Global Vacuum Systems, the signed written agreement will control with respect to the applicable transaction.

Any prices, “call for price” references, inventory descriptions, product descriptions, availability information, specifications, capacities, dimensions, weights, configurations, drawings, photographs, renderings, videos, performance information, lead times, delivery estimates, and other product or service information on the Site are provided for general informational purposes only and are subject to change without notice.

Global Vacuum Systems does not warrant that information on the Site is accurate, complete, current, or error-free. Products, services, inventory, configurations, pricing, and availability may change at any time. The inclusion of any product, service, inventory item, photograph, specification, or description on the Site does not guarantee that such product, service, inventory item, configuration, specification, or description is available, suitable for your needs, or will be included in any transaction.

1. PRODUCT, CODE, AND COMPLIANCE INFORMATION

Descriptions on the Site regarding ASME, D.O.T., code, non-code, pressure vessel, vacuum truck, tank, trailer, filter system, pump, refurbishment, fabrication, capacity, configuration, performance, safety, compliance, or similar matters are general in nature.

Actual product characteristics, compliance requirements, certifications, capacity, configuration, performance, and suitability depend on the applicable product, build, quote, drawings, certificates, documentation, customer specifications, intended use, operating conditions, and applicable laws, regulations, codes, and standards. You are responsible for confirming that any product or service is suitable for your intended use and complies with applicable legal, regulatory, safety, environmental, transportation, industry, and operational requirements.

No statement on the Site modifies or replaces the applicable written specifications, drawings, certifications, transaction documents, manufacturer documentation, operating instructions, safety instructions, or applicable law.

1. USED EQUIPMENT; INVENTORY ITEMS

Any used equipment, refurbished equipment, inventory item, or pre-owned product referenced on the Site is subject to prior sale, withdrawal, inspection, reconditioning status, documentation, and separate written transaction terms.

Used equipment may be sold “as-is,” refurbished, repaired, or subject to limited warranties only if expressly stated in the applicable written quote, invoice, bill of sale, purchase agreement, or other transaction document. You may not use any such marks or identifiers without the prior written consent of Global Vacuum Systems.

All rights not expressly granted in these Terms are reserved by Global Vacuum Systems.

1. SUBMISSIONS; NO CONFIDENTIAL INFORMATION

The Site may allow you to submit information through contact forms, request forms, email links, or other communication features. You are responsible for the information you submit.

Do not submit confidential, proprietary, sensitive, export-controlled, classified, regulated, or personal information through the Site. 1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GLOBAL VACUUM SYSTEMS AND ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, AFFILIATES, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR DAMAGE TO EQUIPMENT, SYSTEMS, OR PROPERTY, ARISING OUT OF OR RELATING TO THE SITE, SITE CONTENT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GLOBAL VACUUM SYSTEMS’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, SITE CONTENT, OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

1. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Global Vacuum Systems and its members, managers, officers, directors, employees, agents, representatives, affiliates, contractors, service providers, and licensors from and against any claims, demands, actions, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) any information, content, materials, specifications, drawings, files, messages, or submissions you provide to Global Vacuum Systems; or (e) your misuse of any Site content.

1. CHANGES TO THE SITE AND THESE TERMS

Global Vacuum Systems may change, suspend, discontinue, or restrict access to all or part of the Site at any time without notice or liability. Global Vacuum Systems may also update these Terms from time to time by posting revised Terms on the Site. The revised Terms will be effective when posted unless a later effective date is stated. Your continued use of the Site after revised Terms are posted means that you accept the revised Terms.

1. TERMINATION

Global Vacuum Systems may terminate, suspend, or restrict your access to the Site at any time, with or without notice, for any reason or no reason, including if Global Vacuum Systems believes that you have violated these Terms or applicable law. Upon termination, all licenses granted to you under these Terms will immediately terminate.

1. GOVERNING LAW; VENUE

These Terms and any dispute arising out of or relating to these Terms, the Site, or Site content will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

You agree that any action or proceeding arising out of or relating to these Terms, the Site, or Site content may be brought only in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

1. MISCELLANEOUS

These Terms constitute the entire agreement between you and Global Vacuum Systems regarding your access to and use of the Site, except that any separate written agreement signed by Global Vacuum Systems will control with respect to the applicable transaction or subject matter. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision. You may not assign or transfer these Terms without the prior written consent of Global Vacuum Systems. Global Vacuum Systems may assign these Terms without restriction. The headings in these Terms are for convenience only and do not affect interpretation.
